Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On January 26, 2024, the compensation committee (the “Committee”) of the board of directors of Motorsport Games Inc., a Delaware corporation (the “Company”), approved and authorized the grant of the following incentive option pursuant to the Motorsport Games Inc. 2021 Equity Incentive Plan: option to purchase 46,000 shares of the Company Class A common stock to Stephen Hood, the Chief Executive Officer and President of the Company. 11,500 shares under this option will vest immediately upon the grant and the remaining 34,500 shares under this option will vest in three equal quarterly installments beginning on April 26, 2024.
