Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On July 25, 2024, Chirantan “CJ” Desai notified the Board of Directors (the “Board”) of MSCI Inc. (the “Company”) of his resignation from service as a director of the Company, effective the same date. Mr. Desai’s decision to resign is not because of a disagreement with the Company or the Board on any matter relating to the Company’s operations, policies or practices.
