The 1,741 Variable Rate Muni Term Preferred Shares, Series W-7 ("Shares") reported as acquired in Table I represent Shares of BlackRock Municipal Income Trust II (the "Issuer") beneficially owned by DNT Asset Trust ("DNT"). The Shares were purchased by DNT from the Issuer. The Shares were acquired for a purchase price of $100,000 per share. DNT is a wholly owned subsidiary of JPMorgan Chase & Co. ("JPMC&C"). |
| 2. This statement is jointly filed by JPMC&C and DNT. JPMC&C holds an indirect interest in the securities listed in Table I (the "Securities") by virtue of its indirect ownership of its subsidiary DNT. |
