Item 3.01 Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.
On May 12, 2022, NewAge, Inc. (the “Company”) received an additional delinquency notification letter (the “May 12 Letter”) from the Listing Qualifications Department of The Nasdaq Stock Market LLC (“Nasdaq”) notifying the Company that due to the delay in filing the Company’s Quarterly Report on Form 10-Q for the quarter ended March 31, 2022 (the “Form 10-Q”), the Company is not in compliance with Nasdaq Listing Rule 5250(c)(1), which requires listed companies to timely file all periodic financial reports with the Securities and Exchange Commission (the “SEC”).
As previously reported, the Company received a letter from Nasdaq on April 1, 2022 notifying the Company it was not in compliance with the timely filing requirement for continued listing under Nasdaq Listing Rule 5250(c)(1) due to the delay in the filing of the Company’s Annual Report on Form 10-K for the fiscal year ended December 31, 2021 (the “Form 10-K”). The May 12 Letter states that, in accordance with the letter received on April 1, 2022, the Company has until May 31, 2022 to submit a plan addressing how it intends to regain compliance with Nasdaq’s listing rules and, if Nasdaq accepts the Company’s plan, it may grant an extension of up to 180 calendar days from the original filing due date of the Form 10-K, or until September 27, 2022, to regain compliance.
The Company expects and intends to submit to Nasdaq the compliance plan by May 31, 2022. The Company’s management is working diligently to complete the Form 10-K and the Form 10-Q and intends to file both the Form 10-K and Form 10-Q as soon as practicable.

On May 17, 2022, the Company issued a press release announcing the Company’s receipt of the May 12 Letter. A copy of the press release is furnished as Exhibit 99.1 to this Current Report on Form 8-K.
