Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
Effective as of April 1, 2025, Salvatore Mulia, a member of the NewtekOne, Inc. Board of Directors (the “Board”) since 2004, retired as a member of the Board. In connection with Mr. Mulia's retirement, the Board decreased the number of directors constituting the entire Board from eight to seven. Board member Fernando Perez-Hickman has been appointed to replace Mr. Mulia on the Audit Committee of the Board.
