Item 5.02.

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On January 10, 2023, NI Holdings, Inc. (the “Company”) filed a Current Report on Form 8-K (the “Original Filing”) reporting the appointment of Prakash Mathew, effective February 1, 2023, to the Board of Directors of the Company (the “Board”). On the date of the Original Filing, the Board had not yet determined to what committees to appoint Mr. Mathew.

The Company is filing this amendment to the Original Filing to report that on March 6, 2023, the Board assigned Mr. Mathew to the Nominating and Corporate Governance Committee and the Executive Committee.
