The board of directors of NIO fully supports the Proposed Resolutions and recommends that shareholders and holders of ADSs vote in favor of the Proposed Resolutions.

Holders of record of ordinary shares of the Company at the close of business on May 22, 2026 (Hong Kong time) are entitled to attend and vote at the AGM or any adjournment or postponement thereof.
