On May 13, 2025, the Company issued a press release announcing the entry into a definitive purchase agreement with Kadima Neuropsychiatry Institute. A copy of the press release is attached as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference. The consummation of the transactions discussed therein are subject to customary closing conditions, which includes finalizing financing. Additional information regarding the transaction will be made available in the Company’s next Quarterly Report on Form 10-Q.
