Item 5.07 Submission of Matters to a Vote of Security Holders
On September 30, 2024, Nuzee, Inc. (the “Company”) held its 2024 Annual Meeting of Stockholders (the “Annual Meeting”). As of August 27, 2024, the record date for the Annual Meeting, 4,978,245 shares of the Company’s common stock were outstanding and entitled to vote, as reflected in the records maintained by the Company’s transfer agent. Pursuant to the Company’s bylaws, a quorum for the transaction of business at a meeting of stockholders requires the presence, in person or by means of remote communication, or representation by proxy, of a majority of the outstanding shares entitled to vote. A quorum of shares was present either by virtual attendance or represented by proxy at the Annual Meeting. The director nominees, as recommended by the Company’s Board of Directors, were duly elected. The final results for each matter submitted to a vote of stockholders at the Annual Meeting are as follows:
