ITEM 5.02 DEPARTURE OF DIRECTORS OR CERTAIN OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF CERTAIN OFFICERS; COMPENSATORY ARRANGEMENTS OF CERTAIN OFFICERS.
On March 28, 2025, the Registrant’s subsidiary OceanFirst Bank, N.A. (the “Bank”) and Christopher D. Maher, Chairman, President and Chief Executive Officer (“CEO”) of the Registrant and Chairman and CEO of the Bank, amended and restated the terms of the Supplemental Executive Retirement Account Agreement previously executed on June 13, 2013. The Amended and Restated Agreement clarifies the treatment of a termination of Mr. Maher’s employment due to disability. The Amended and Restated Agreement now provides that upon such a termination, he will be paid the account balance as of the effective date of the termination plus the amount to be credited for the plan year of such event (unless already made). There were no other substantive changes to the original agreement. The Amended and Restated Agreement is filed herewith as Exhibit 10.1.
