Item 8.01 Other Events.

On April 8, 2024, Ocugen, Inc. ("Ocugen") issued a press release announcing the U.S. Food and Drug Administration (FDA) has cleared Ocugen’s Investigational New Drug (IND) amendment to initiate a Phase 3 clinical trial of OCU400, a modifier gene therapy product candidate being developed for retinitis pigmentosa (RP). A copy of the press release is filed herewith as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
