1. Each Restricted Stock Unit ("RSU") represents a contingent right to receive one share of commons stock of Sunnova Energy International Inc. ("Common Stock"). |
2. The sale of such shares of Common Stock was authorized by the Company in order to meet tax withholding obligations in connection with the July 29, 2024 vesting of RSUs granted on July 29, 2019. The sale of the reporting person's shares of Common Stock constitutes a "sell-to-cover transaction" and is provided for in a trading plan intended to satisfy the affirmative defense conditions of Rule 10b5-1(c) under the Securities Exchange Act of 1934, as amended, and the sale does not represent a discretionary trade by the reporting person. |
3. The price reported in Column 4 is a weighted average price. These shares of Common Stock were sold in multiple transactions at prices ranging from $6.94 to $7.19, inclusive.
