Explanation of Responses:

1. Represents Restricted Stock Units ("RSUs") that shall vest with respect to one-fourth (1/4th) of the RSUs on each of July 1, 2025, January 1, 2026, July 1, 2026 and January 1, 2027, subject to the Grantee's continued service with the Company through the applicable vesting date.

2. Options shall vest and become exercisable with respect to one-fourth (1/4th) of the shares subject thereto on each of July 1, 2025, January 1, 2026, July 1, 2026 and January 1, 2027, subject to the Optionee's continued service with the Company through the applicable vesting date.

Remarks:

The Reporting Person is the Senior Vice President of Regulatory Affairs of the Issuer.
