Explanation of Responses:

1. The price reported in Column 4 is a weighted average price. These common units were sold in multiple transactions at prices ranging from $18.50 to $19.23, inclusive. The reporting person undertakes to provide to the Issuer, any security holder of the Issuer or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of common units sold at each separate price within the ranges set forth in this footnote (1) to this Form 4.

2. Includes 68,755 phantom units. Each phantom unit represents the contingent right to receive one common unit of the Issuer upon vesting. The phantom units will vest in three equal installments on each of the first three anniversaries of the grant date, subject in each case to the continued service through such dates.

Remarks:

The Reporting Person is Chief Financial Officer of Mach Natural Resources GP LLC, the general partner of the Issuer (the "General Partner"). The Issuer is managed by the directors and executive officers of the General Partner.
