Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On December 18, 2024, Leo H. Suggs notified Old Dominion Freight Line, Inc. (the “Company”) of his decision to retire from the Board of Directors of the Company (the “Board”) at the end of his current term. Mr. Suggs will continue to serve as a director through the Company’s 2025 Annual Meeting of Shareholders and will not stand for re-election at such meeting. Mr. Suggs’s decision to retire from the Board was not due to any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
