Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On February 29, 2024, Omnicell, Inc. (“Omnicell” or the “Company”) filed a Current Report on Form 8-K disclosing that Joseph B. Spears would retire from his roles as Senior Vice President, Chief Accounting Officer and Corporate Controller and would remain as an executive adviser to the Company until his retirement from the Company effective May 31, 2024.

Omnicell is now filing this Current Report on Form 8-K/A to report that, effective May 31, 2024, Mr. Spears’ retirement date has been extended to June 30, 2024. Mr. Spears will continue to serve as an executive adviser to the Company until his retirement and will continue to assist in the transition of his roles and responsibilities.
