Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On December 8, 2023, Yury Byalik tendered his resignation as Head of Strategy and Acquisitions of Onfolio Holdings Inc. (the “Company”), effective immediately, so that he can focus on managing SEOButler.com, a Company wholly owned subsidiary and portfolio company. Mr Byalik is no longer considered an executive officer of the Company for whom disclosure is required in the Company’s filings with the Commission that requires disclosure pursuant to Item 402(c) of Regulation S-K.
