Item 5.02

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On May 27, 2025, Manoocher Mansouri, President of the Optoelectronics and Manufacturing division (“Opto President”) of OSI Systems, Inc. (the "Company") notified the Company of his plans to retire from his role as Opto President effective June 30, 2025. Following his retirement as Opto President, Mr. Mansouri will continue as Chief Technology Officer of the Optoelectronics and Manufacturing division.

Paul Morben, President of the Company’s OSI Electronics business unit will become the Opto President effective July 1, 2025. Biographical information for Mr. Morben can be found on page 29 of the Company’s definitive proxy statement filed with the Securities and Exchange Commission on October 25, 2024 and is incorporated herein by reference. Mr. Morben does not have a direct or indirect material interest in any transaction with the Company that requires disclosure pursuant to Item 404(a) of Regulation S-K.
