Explanation of Responses:

1. The shares were issued to the Reporting Person as the consideration for achieving certain performance targets in the second quarter of 2023, in accordance with a stock purchase agreement, entered into by and between the Reporting Person and the Issuer on July 5, 2022, as amended on February 27, 2023.
