On April 22, 2025, Sir Richard Sykes, a member of the Board of Directors (the “Board”) of PDS Biotechnology Corporation
(the “Company”), notified the Company that he will retire and not stand for re-election as a director of the Company upon the expiration of his current term which expires at the Company’s 2025 Annual Meeting of Stockholders.
