Item 1.01 Entry into a Material Definitive Agreement.
In connection with the retirement of James K. Hunt and Emily Youssouf
on December 31, 2024, PennyMac Financial Services, Inc. (the “Company”) and HC Partners
LLC entered into the Fourth Amended and Restated Stockholder Agreement (the “Stockholder Agreement”) to decrease the maximum
number of directors to serve on the Board from thirteen to eleven. The foregoing description of the Stockholder Agreement does not purport
to be complete and is qualified in its entirety by reference to the full text of the Stockholder Agreement, a copy of which is filed as
Exhibit 10.1 hereto and is incorporated herein by reference.
Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
On December 31, 2024, the Board amended Article II, Section 1 of the Company’s Amended and Restated Bylaws (the “Third Amendment”) in connection with the retirement of James K. Hunt and Emily Youssouf to decrease the maximum number of directors to serve on the Board from thirteen to eleven. The foregoing description of the Third Amendment does not purport to be complete and is qualified in its entirety by reference to the full text of the Third Amendment, a copy of which is filed as Exhibit 3.1 hereto and incorporated herein by reference.
