Item 7.01 Entry into a Material Definitive Agreement
On January 18, 2024, Spectaire Holdings Inc. (the “Company”) issued a press release announcing the completion of the previously announced forward purchase transaction with certain funds affiliated with Meteora Capital LLC. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated in this Item 7.01 by reference.
