Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On July 24, 2024, Todd Penegor advised Perrigo Company plc (“Perrigo” or the “Company”) that he would be resigning from the Company’s board of directors (the “Board”), effective July 31, 2024. Mr. Penegor stated he expected to be named CEO of another public company and as such would be unable to meet his time commitments as a Perrigo board member. Mr. Penegor noted that his decision to resign from the Board was not due to any disagreement with the Company on any matter relating to the Company’s operations, policies, or practices. The Company wishes Mr. Penegor well in his future endeavors.
