Appointment of Principal Accounting Officer; Departure of Previous Principal Accounting Officer

On June 17, 2024, the board of directors (the “Board”) of Phreesia, Inc. (the “Company”) appointed Yvonne Hui as VP, Principal Accounting Officer, effective June 20, 2024. Effective as of June 19, 2024, Janet Gunzburg no longer serves as the Company’s principal accounting officer.

Ms. Hui, age 43, has served as VP, Revenue Recognition and Billing Operations of the Company since March 2022. From August 2021 until March 2022, she served as Google Cloud Controller, Accounting and Reporting at Google LLC. Prior to that from April 2016 until June 2021, she served as Director, Head of Revenue Accounting and Operations at Spotify USA Inc. She holds a Bachelor of Science degree in Accounting from the University of Hull in the United Kingdom and holds an active license as Certified Public Accountant in California.

There are no arrangements or understandings between Ms. Hui and any other persons pursuant to which she was appointed as the Principal Accounting Officer of the Company. There are no family relationships between Ms. Hui and any director, executive officer or any person nominated or chosen by the Company to become a director or executive officer. No information is required to be disclosed with respect to Ms. Hui pursuant to Item 404(a) of Regulation S-K.
