PQ Group Holdings Inc. (NYSE:PQG) (the "Company") today announced the pricing of the previously announced underwritten public offering by certain of its stockholders (the "Selling Stockholders") of 12,500,000 shares of its common stock at a price to the public of $14.00 per share. The offering is expected to close on May 3, 2021, subject to customary closing conditions. The Selling Stockholders have granted the underwriters a 30-day option to purchase up to 1,875,000 additional shares at the public offering price less underwriting discounts and commissions.

The Selling Stockholders will receive all of the net proceeds from this offering. No shares are being sold by the Company.

Citigroup, Deutsche Bank Securities and Credit Suisse are serving as the joint lead book-running managers of the offering. BMO Capital Markets, Morgan Stanley, Jefferies and KeyBanc Capital Markets are also serving as book-running managers of the offering. C.L. King & Associates are serving as a co-manager of the offering.
