2. Consists of (i) 17,402 shares beneficially owned by reporting person, and (ii) 5,402 shares of restricted stock or restricted stock units of the reporting person subject to future vesting requirements.

3. Each Depository Share represents 1/40th interest in a share of the Issuer's 7.125% Series C Fixed Rate Non-Cumulative Perpetual Preferred Stock, per value $0.01 per share.
