The Class C common shares were issued to Mr. Nair pursuant to his June 2023 election under the Issuer's deferred compensation plan to defer payment of the bonus he had earned under the Issuer's 2023 annual performance award program. Pursuant to the terms of the election in 2023 and the deferred compensation plan, the number of shares issued was determined using the closing market price of the Issuer's Class C common shares on January 15, 2025. |
