    1. These shares are granted pursuant to the Elme Communities 2016 Omnibus Incentive Plan (as amended and restated effective as of May 30, 2024). These shares vest ratably over 3 years, beginning on 12/15/2025, subject to the reporting person's continued employment through each vesting date. Per the terms of the Company's Amended and Restated Long Term Incentive Plan, effective January 1, 2020, on the date Mr. McDermott becomes retirement eligible, 12/19/26, he will immediately be entitled to vest in the final tranche of these shares should he retire.
    2. Represents shares received pursuant to the Company's Amended and Restated Long Term Incentive Plan, effective January 1, 2020, which were earned based on the achievement of certain performance measures during the three-year performance period ended December 31, 2024.
