1. This price represents the weighted average price per share of common stock of Savers, Inc. These Shares were executed at a range of prices from $10.25 to $10.34. The Reporting Person undertakes to provide, upon request by the Securities and Exchange Commission staff, the Issuer or a security holder of the Issuer, full information regarding the number of Shares sold at each price. |
2. Options previously granted under the Registrant's 2019 Management Incentive Plan. Each option represents the right to receive upon exercise one share of the Registrant's common stock subject to the applicable vesting and settlement conditions. |
3. The June 12, 2019 stock option grant vested in substantially equal annual installments over five years starting March 28, 2020 and was fully vested on March 28, 2024. |
4. Approximately 40% represents time-based options with a vesting schedule in substantially equal annual installments over five years starting March 28, 2020, and approximately 60% represents performance-based options, of which 25% vested upon the initial public offering and the remainder will be eligible for vesting upon satisfaction of certain performance criteria including stock price performance. |
