Explanation of Responses:

1. Represents an award of Restricted Stock Units ("RSUs"). Each RSU represents a contingent right to receive one share of the Issuer's Common Stock. The RSUs vest in three nearly equal annual installments beginning on April 10, 2026, subject to the Reporting Person's continued employment on the applicable vesting date.

2. Represents shares of common stock received upon the satisfaction of performance criteria underlying an award of performance stock units.
