1. Each Restricted Stock Unit ("RSU") represents the right to receive one share of the common stock of the Issuer.
2. On March 2, 2022, 1,846 RSUs were granted to the reporting person, and 1,231 of these RSUs vested on March 2, 2024 and 615 RSUs vested on March 2, 2025.
3. Each Performance Share Unit ("PSU") represents the contingent right to receive one share of the Issuer's common stock based on certain vesting conditions.
4. On March 2, 2022, 1,846 PSUs were granted and the vesting and award of Issuer's common stock was contingent upon achievement of specified performance targets over the three year period from 2022 through 2024, with potential to earn a number of shares of common stock between 0% and 200% of the number of target PSUs awarded. The Issuer determined that 922 PSUs vested based on performance conditions.
