Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On April 9, 2025, Dr. Fred E. Cohen notified the Board of Directors of Progyny, Inc. (the “Company”) of his decision not to stand for reelection at the Company’s 2025 Annual Meeting of Stockholders. Dr. Cohen’s decision was not related to any disagreement with the Company on any matter relating to the Company’s operations, policies or practices. Dr. Cohen will continue to serve as a director of the Company through the end of his current term, which ends at the Annual Meeting.
