Explanatory Note
This Current Report on Form 8-K/A (this “Amendment”) amends the Current Report on Form 8-K filed by Volato Group, Inc. (the “Company”)
with the Securities and Exchange Commission on December 7, 2023 (the “Original Form 8-K”). The Original Form 8-K reported in Item 4.01 that the prior identified material weaknesses in internal controls over financial reporting were remediated,
however the remediation was continuing.
This Amendment is being filed solely to supplement and amend the Original Form 8-K to disclose the status of such remediation. No other
disclosure in the Original Form 8-K is amended by this Amendment.

Changes to Registrant’s Certifying Accountant.

The material weakness in internal controls over financial reporting related to allocation of an expense for directors and officers
liability insurance, identified as having been remediated, as of the date of this Report, remained subject to remediation.
