Item 5.02						Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(b) Carlos Dominguez resigned from the Board of Directors (the “Board”) of PROS Holdings, Inc. (the “Company”) effective July 12, 2024 due to personal health reasons. Mr. Dominguez’s resignation was not the result of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
