Item 8.01. Other Events.
On October 21, 2025, RadNet, Inc. (the “Company”) filed with the Securities and Exchange Commission, a prospectus supplement dated October 21, 2025 to the Company’s automatic shelf registration statement on Form S-3 (Registration No. 333-269025). The prospectus supplement was filed to register for resale from time to time by the selling stockholders referenced in the prospectus supplement of up to 59,444 shares of the Company’s common stock, par value $0.0001 per share.
In connection with the prospectus supplement, the Company is filing the opinion of its counsel, Reed Smith LLP, regarding the legality of the securities being registered, which opinion is attached as Exhibit 5.1 to this Current Report on Form 8-K.
