On February 22, 2024, Revelstone Capital Acquisition Corp. (“RCAC” or the “Company”) received a notice (the “Notice”) from the Nasdaq Stock Market LLC (“Nasdaq”), indicating that it failed to maintain a minimum average market value of publicly held shares of $40,000,000 for over 30 consecutive trading days, as required by Listing Rule 5452 (the “Rule”). Accordingly, and pursuant to Listing Rule 5815(a)(1)(B)(ii)(c)2 trading of the Company’s listed securities will be suspended from The Nasdaq Global Market on March 4, 2024 (the “Suspension”), and a Form 25-NSE will be filed with the Securities and Exchange Commission (the “SEC”), which will remove the Company’s securities from listing and registration on The Nasdaq Stock Market.
The Notice states that the Company has until until February 29, 2024 to request a hearing to appeal its decision, however such request will not stay the Suspension.
