Item 2.02 Results of Operations and Financial Condition.

On November 3, 2021, Revolve Group, Inc. (the "Company) issued a press release announcing its financial results for its third quarter ended September 30, 2021. A copy of the press release is furnished as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.

Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On October 28, 2021, the compensation committee of the board of directors of the Company approved an amendment to the employment agreement of David Pujades, who resigned as the Company’s chief operating officer effective as of September 15, 2021 but remains a “named executive officer” as defined in instruction 4 to Item 5.02 of Form 8-K. Pursuant to the amendment, Mr. Pujades’ 2021 bonus will be pro-rated based on his time in service during 2021. With respect to the 50% portion of Mr. Pujades’ 2021 bonus that is payable through the vesting of restricted stock units (“RSUs”), such RSUs will continue to vest subject to achievement of the previously approved performance targets but not subject to the continued service requirement, and the ultimate number of shares issued upon vesting will be pro-rated based on Mr. Pujades’ time in service during 2021.
