Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On April 9, 2025, the Board of Directors (the “Board”) of Rexford Industrial Realty, Inc. (the “Company”), determined that Richard Ziman, Chairman of the Board, will not stand for reelection at the 2025 annual meeting of stockholders (the “Annual Meeting”) as a result of Mr. Ziman’s decision to retire. Effective upon the conclusion of Mr. Ziman’s term of service following the Annual Meeting, the size of the Board will decrease to seven (7) directors. Mr. Ziman’s retirement is not the result of any disagreement with the Company on any matter relating to the operations, policies or practices of the Company.
