Item 5.02Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On January 31, 2024, Rhinebeck Bancorp, Inc. (the “Company”), the holding company of Rhinebeck Bank, announced the retirement of Michael J. McDermott, Chief Financial Officer of the Company. The retirement is effective May 31, 2024. Mr. McDermott has served as its chief financial officer since 2001. The Company expressed its appreciation for his almost 23 years of dedicated service and leadership as an executive officer and wishes him the best during his retirement.

Mr. McDermott’s retirement is not in connection with any disagreement with the Company pertaining to the Company’s operations, policies or practices.
