Item 8.01. Other Events.
On February 27, 2025, the board of directors of the Company set June 24, 2025 as the date of the Company’s 2025 annual meeting of stockholders (the “Annual Meeting”). In accordance with the Company’s amended and restated bylaws (the “Bylaws”), any stockholder seeking to bring business before the Annual Meeting or to nominate a director for election at the Annual Meeting must provide timely notice to be received at the Company’s principal executive offices not later than the close of business on March 26, 2025. In addition, all such notices and proposals must conform to the applicable requirements of the Bylaws, the rules and regulations promulgated under the Exchange Act, including Rule 14a-19, and other applicable law. Stockholder proposals intended for inclusion in the Company’s proxy statement for the Annual Meeting pursuant to Rule 14a-8 under the Exchange Act, must be received at the Company’s principal executive offices no later than the close of business on March 26, 2025.
