Explanation of Responses:

1. This transaction is being reported late due to inadvertent administrative error.

2. Shares of restricted stock granted pursuant to the Company's 2015 Equity Incentive Plan. The shares shall vest 100% on May 30, 2025, provided the Reporting Person completes continuous service.

3. The number of shares reported in this Form 4 account for the one-for-nine Reverse Stock Split effected by the Issuer on December 11, 2023. No fractional shares were issued in connection with the Reverse Stock Split. Any fractional shares that would have resulted from the Reverse Stock Split were rounded up to the nearest whole number.
