Item 2.02 - Results of Operations and Financial Condition.

On August 8, 2023, Rivian Automotive, Inc. (the “Company”) announced its financial results for the second quarter ended June 30, 2023. The full text of the press release and shareholder letter (the “Letter”) issued in connection with the announcement are furnished as Exhibits 99.1 and 99.2, respectively, to this Current Report on Form 8-K. In the Letter, the Company also announced that it will be holding an audio webcast on August 8, 2023 at 2:00pm PT / 5:00pm ET to discuss its financial results for the second quarter ended June 30, 2023.

The Company is making reference to non-GAAP financial information in both the Letter and the audio webcast. A reconciliation of these non-GAAP financial measures to their nearest GAAP equivalents is provided in the Letter.
