In this Current Report on Form 8-K, the terms “RMRM”, “we”, “us”, “our” and “the Company” refer to RMR Mortgage Trust unless the context indicates otherwise.
Item 5.07. Submission of Matters to a Vote of Security Holders.
On September 17, 2021, we held a special meeting of our shareholders at which our shareholders were asked to consider and vote upon the following proposals:
1. | Approval of the issuance of our common shares of beneficial interest, $0.001 par value per share, or RMRM Common Shares, as contemplated by the Agreement and Plan of Merger, dated as of April 26, 2021, as it may be amended from time to time, or the Merger Agreement, by and between us and Tremont Mortgage Trust, a Maryland real estate investment trust, or TRMT, in the merger of TRMT with and into the Company with the Company continuing as the surviving entity (which proposal we refer to as the RMRM Share Issuance Proposal); and |
2. | Approval of the adjournment of our special meeting of shareholders from time to time, if necessary or appropriate, including to solicit additional proxies in favor of the RMRM Share Issuance Proposal if there are insufficient votes at the time of such adjournment to approve such proposal (which proposal we refer to as the RMRM Adjournment Proposal). |
Each of the foregoing proposals is described in detail in the definitive joint proxy statement/prospectus, or the Joint Proxy Statement/Prospectus, we filed with the Securities and Exchange Commission, or the SEC, on July 26, 2021, and the Joint Proxy Statement/Prospectus has been supplemented by supplements to the Joint Proxy Statement/Prospectus we filed with the SEC.
For each of the proposals, a quorum was present. According to the report of the Inspector of Elections, the RMRM Share Issuance Proposal was approved by the requisite vote of the holders of RMRM Common Shares. The voting results for the RMRM Share Issuance Proposal are as follows:

The results reported above are final voting results.
We did not call the vote on the RMRM Adjournment Proposal as there were sufficient votes to approve the RMRM Share Issuance Proposal.

In connection with the merger of TRMT with and into RMRM with RMRM continuing as the surviving entity, or the Merger, RMRM filed with the SEC, a Registration Statement on Form S-4 containing the Joint Proxy Statement/Prospectus and other documents with respect to the Merger, which was declared effective by the SEC on July 26, 2021.
