The sale reported on this Form 4 was the result of an error by the reporting person's broker in connection with the vesting and settlement of shares of Series A Common Stock pursuant to a performance-based restricted stock unit granted on March 10, 2022. The transaction reported does not represent a discretionary transaction by the reporting person.
