Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On August 28, 2024, Royal Gold Corporation, a subsidiary of Royal Gold, Inc., entered into a letter agreement with Mark Isto to extend the term of the Consulting and Confidentiality Agreement, dated effective September 14, 2023, between the parties from August 31, 2024 to December 31, 2025. Mr. Isto previously served as Executive Vice President and Chief Operating Officer of Royal Gold Corporation.
