On June 10, 2024, the Board of Directors of RXO, Inc. (the “Company”) appointed Mr. Troy Cooper as a Class II Director. Mr. Cooper will not serve on any Committee of the Company’s Board of Directors.

On June 14, 2024, the Company issued a press release regarding Mr. Cooper’s appointment to the Board. The press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
