Pursuant to the merger agreement, dated August 10, 2022, STAR and SAFE will combine through a stock-for stock merger, in which SAFE will merge with and into STAR, with STAR continuing as the surviving corporation and operating under the name "Safehold Inc." (the "Merger"). The Joint Proxy Statement/Prospectus of STAR and SAFE was filed with the SEC on January 31, 2023.
The Firms are presently investigating whether the merger of these two entities creates multiple potential conflicts of interest that serve to disproportionately benefit STAR and a separate company called SpinCo. For example, STAR already owns 41.9% of the stock of SAFE. Prior to the merger, STAR will spin-off its non-ground lease assets to a separate entity called SpinCo and also give $400.0 million of shares of the SAFE common stock owned by STAR and at least $50.0 million of cash to SpinCo.
The Firms are further investigating whether SAFE and its board of directors oversaw an unfair process that failed to achieve the best possible outcome for SAFE shareholders and failed to disclose information necessary for shareholders to adequately assess the merger.
