Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On May 19, 2025, Michael D. McNeil notified Sanara MedTech Inc. (the “Company”) that he is retiring from his position as Chief Accounting Officer and Chief Administrative Officer of the Company, effective August 19, 2025 (the “Effective Date”). The Company is currently in discussions with Mr. McNeil regarding a consulting arrangement, pursuant to which Mr. McNeil would provide certain transition and advisory services to the Company following the Effective Date of his retirement.

On the Effective Date, Elizabeth B. Taylor, the Company’s Chief Financial Officer, will assume Mr. McNeil’s duties as principal accounting officer. Biographical information for Ms. Taylor is included in the Company’s Definitive Proxy Statement on Schedule 14A filed with the Securities and Exchange Commission on April 21, 2025.
