ITEM 5.02 DEPARTURE OF DIRECTORS OR CERTAIN OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF CERTAIN OFFICERS; COMPENSATORY ARRANGEMENTS OF CERTAIN OFFICERS

On December 13, 2023, Sanmina Corporation (the “Company”) entered into a Separation and Release Agreement (the “Agreement”) with Kurt Adzema, former Executive Vice President and Chief Financial Officer of the Company under which Mr. Adzema will receive a lump sum payment of $570,000 on January 5, 2024, subject to the terms and conditions of the Agreement. In addition, the vesting of an aggregate of 22,334 performance stock units previously granted to Mr. Adzema under the Company’s 2019 Equity Incentive Plan representing the shares for which the performance criteria have already been achieved will be accelerated, effective January 5, 2024 and subject to the terms and conditions of the Agreement. The Agreement also contains customary provisions concerning release of claims, non-solicitation of employees and non-disparagement.
