On June 9, 2025, Karl Brenza resigned as Chairman and as a member of the Board of Directors (the “Board”) of ScanTech AI Systems Inc. (the “Company”). Mr. Brenza’s resignation was not a result of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices. Mr. Brenza will continue to act as a consultant to the Company pursuant to Mr. Brenza’s existing consulting agreement.
On June 9, 2025, Bradley Buswell was appointed as Chairman of the Board.

On June 9, 2025, the Company issued a press release announcing the appointment of Mr. Buswell as Chairman of the Board. A copy of the press release is attached hereto as Exhibit 99.1.
